Negotiating credit agreements in Colombia, even when there are no elements of internationality, has involved the practice of including contractual provisions that are usual in jurisdictions of Anglo-Saxon tradition. This paper reviews, from a law and economics perspective, the reasons, applicability, and usefulness of the abovementioned practice, to conclude if the transaction costs generated by negotiating, reviewing, and including these provisions are greater or lesser, and hence inefficient, for the purpose sought by the parties.
